I remember some discussion not too long ago regarding the 8K filing in July. Somebody was wondering whether there would be a likewise filing for October. Well, a similar question arose at the Fool, and I offered the possible explanation that most of us seemed to agree on here: that it was a requirement of the merger and that there would likely be no such filing this Q. I've heard this as well, however I'm not sure if it is correct.

Who requires a company to file an 8K following an acquisition/merger? The SEC? If it is a requirement, why didn't 3Com file an 8K the month following the acquisitionmerger with U.S. Robotics?

If you have understanding and perhaps proof of this 8K requirement, I'd appreciate it. I'm not sure, but in my opinion they filed the 8K to protect themselves from a lawsuit following the overly positive outlook provided at the end of July financial analysts' meeting.
