No,during the 3Qcc, mgmt. was asked how many shares did they expect to be outstanding by 12/97. They replied with 34mm.I could be wrong but I believe the reasoning behind the 100mm,might be used to protect NIC from an unwanted takeover at these levels.

As for ORCL, I still believe they will give NIC some business,I don't know to what extent.

<<I wanted to clarify something here. I just got something in the mail to vote on authorizing the total number of shares to increase from 50 million to 100 million (I guess to cover the conversion of preferred shares). Does this mean that there will be 100 million shares? If so, what does this do to the little formula above which is based on 34m (cut it in a third)? I'd appreciate others comments.>>

No, the total number of shares by mid 1998 will be 34 million shares. That proxy is simply authorizing 100 million total shares. Most companies like to have authorized more than 2x the current issued number of shares. I think it is a takeover defense. They do not want to be taken over at such a low price.

<<Also, did anyone talk about Oracle and the stuff announced recently. Does this mean that IMGX partnership is dead with Oracle?>>

We thought that Sidona was decided, but it was not. Oracle never chose anyone. They get business thru Oracle for some databases, but nothing is formalized as a partner.
