You have a good point here.

The debenture holders usually have fairly strong rights as
you suggest... and with zero profits to cover interest on this
debt going forward, S3 could be in a real bind.

The bond holders obviously can't see the stock at the $ 19 conversion level any time soon, so they may be highly motviated to overturn the whole agreement as you suggest.

Let me correct an inaccurate statement I have made.

<<It concerns the issuance of $100 million of convertible debentures which I believe occurred during the period of inaccurate reporting.>>

In further checking 10K statements, all of the $103 million in notes were placed prior to the start of the 2nd quarter. They were originally issued during Sept 96. I had seen some thread conversations during the summer which led me to believe there were additional notes issued. That does not to be the case.

I apologize for any misunderstanding.
