Each unit consists of one share and one warrant. One warrant entitles the holder to purchase an additional share at $0.24, exercisable for two years. The 6,250,000 shares are subject to a 12 month hold period. Proceeds will be used towards the purchase of a 50% interest in Callisto Media Systems.
