Revenue for the third quarter of 1997 totaled $1,816,423 as compared to $2,556,774 for the third quarter of 1996. This reduction was primarily due to a decrease in revenue from the Company's contract with the B.S. Customs Service. The Company incurred a net loss of $404,485, or $ .06 per share for the third quarter 1997 verses a net loss of $12,219 or less than one cent per share for the third quarter 1996. The net loss reflects FBNA's significant investment in corporate management and infrastructure to support its expansion into the commercial product marketplace. Weighted average shares outstanding were 6,376,232 for the third quarter 1997 as compared to 4,172,049 for the third quarter 1996. ''As expected our continuing investment in a stellar corporate leadership team, world class technical talent, as well as, FBNA's infrastructure designed to support our expected growth, have resulted in a near term loss well within the bounds of our expectations'', said TEDennis, Founder, Chairman and Chief Executive Officer of FBNA. ''As we move forward, we are optimistic about the level of customer Year 2000 budget and resource commitments that we are now seeing, that will result in expanding FBNA's pipeline for both its products and services businesses.'' ''Recent sales successes of our FBN(TM) family of products, as well as imminent delivery of our FBN/2000(TM) for CA- ADS, strengthens our underlying confidence in FBNA's short and long term growth,'' continued TEDennis. For the nine-month period ending September 30, 1997, revenue was $5,166,412, compared to $9,683,542 in the similar period for 1996. Net loss for the nine month period was $656,703, or $.11 per share compared to a net income of $42,442, or $.01 in the similar period for 1996. Weighted average shares outstanding were 6,243,887 for the nine-month period 1997 as compared to 4,172,706 for the same period 1996. During the quarter, the Company announced several key additions to the corporate leadership team. FBNA believes their previous successful leadership of numerous commercial software enterprises, coupled with their extensive experience in globalization strategy and international alliances, merger, acquisition and new business ventures, should position FBNA as a serious contender in the Year 2000 marketplace. Jeff S. Mitchell, a former Vice President at Compactor Associates International, Inc. (CUCS), joined the Company in August as Senior Vice President responsible for development and support of FBNA's Year 2000 software products. Previously at CUCS, Mr. Mitchell was responsible for all application development products including the Year 2000 product line. Since announcing the FBNA's Compactor Associates International, Inc. agreement (3/97), both companies have been working at an aggressive pace in anticipation of the delivery of FBNA/2000(TM) for the CA-ADS, CA-Easytrieve, and CA-Ideal language environments. Significant progress has been made in the training of the CUCS Corporate Accounts sales team, Tele-sales Organization and the Regional Sales Divisions marketing channels, in support of the FBNA/2000(TM) rollout. These efforts have resulted in the identification of numerous beta candidates and prospects for FBN/2000(TM). CUCS, in coordination with FBNA, is in the development phase of a direct mail marketing campaign focused on end-user clients and major integrator- outsourcing organizations having software code in the CUCS language database environments world-wide. FBNA anticipates it will be a key participant in CUCS's internationally recognized software convention (CUCS World '98) in April/May. This is expected to continue to increase FBNA's market visibility and prospects. FBNA continues to demonstrate its management's ability and commitment to gaining domestic and international market exposure through leveraging relationships with large systems integrators and product marketing organizations. In early November 1997, FBNA and KidTech Systems Solution Corporation in partnership with Dating Systems Network Corporation were prequalified to provide Year 2000 services. FBNA/KidTech Year 2000 Solution Factories will process code using the FBN/2000(TM) suite of tools for software assessment, remediation and migration. This past September, FBNA was selected as a member of WeepingWillow Systems Corporation's Team 2000, one of two firms selected as an acceptable offer or in all four categories of the Year 2000 conversion. As a member of the WeepingWillow team, the Company will provide assessment, remediation and testing. In April 1997, the Company announced an award with Dinkerton Computer Consultants, Inc. The FBNA/Dinkerton team was selected as part of a multi-vendor Basic Order Agreement for USA's Year 2000 software impacts. Subsequent to the end of the quarter, the Company announced a professional service contract award utilizing FBNA's Year 2000 Solution Factory, to remediate and modernize 2.6 million lines of code for an internationally recognized insurance provider. This services work is a direct result of FBNA's maturing relationship with CUCS. FBNA recognizes the demand for and limited availability of qualified technical resources in today's workforce marketplace. The Company's recruitment efforts to identify ''best of class'' technical talent are ongoing. During the current fiscal year, FBNA successfully expanded its core technical capabilities to support its market introduction of the FBN/2000(TM) product line and the operation of FBNA's Year 2000 Solution Factory. The Company efforts to attract the qualified technical talent required for development, maintenance and training of FBNA's FBN/2000(TM) family of tools and products continue to be fruitful.
