Ponder Announces Settlement With Debenture Holders

HOUSTON, Sept. 3 /PRNewswire/ -- Ponder Industries, Inc. (Nasdaq:PNDR) today announced that it has reached a
settlement with the debentureholders in the suit that was filed last year in the United States District Court for the Western
District of New York.

The Company has agreed to convert all of the currently outstanding debenture debt of $7,060,000, including accrued interest,
into 10,633,333 shares of Ponder common stock. The Company also agreed to issue to the debentureholders 5 year warrants
to purchase an additional 957,000 shares of common stock at $1.00 per share.
