WH, I think Temp was referring to the difference in total shares of common stock outstanding between that set forth in the initial S-1 (and 1st S-1a) and as set forth in the 2nd S-1a. I haven't been able to account for that many shares, but the latest amendment does list shares issued for the Sept. '97 private placement (333,333 shs for $1M), and also shows an issuance of 540 shares of convertible preferred stock (Series A) at $10,000/sh to eight heavy hitters on 10/31/97, which brought in $5.4M.
Looks like Frank is gearing up for something big. GGGG
