Perhaps someone here can clarify...

sec.gov

The above S8 was filed Nov. 4th, 1997 to register shares for Syquests stock incentive plans. It appears that at least one of the plans was approved by the board in July of 1997, but shareholder approval was scheduled for Nov. 5th, 1997?! Why did they file to register the shares one day before the shareholder vote?

The S8 refers to a Stock Incentive Plan (5,114,019 shares) and an Employee Stock Incentive Plan (5,000,000 shares). There was no such breakdown in the recent DEF 14A. The DEF 14A only mentioned the Stock Incentive Plan. So what's the difference between the two? Furthermore, the DEF 14A...

sec.gov

only mentioned 4,000,000 shares allocated for the Stock Incentive Plan, yet the S8 says they registered a total of 10,114,019 shares for the two plans? What's the deal?

Re: >>>200 MB super floppy - I heard this will be introduced sometime in 1998. Considering that it can read the 3.5 floppy, it could ultimately replace the zip as preferred standard. I don't see this having any impact on Syquest products.<<<

I believe the drive would certainly impact the EzFlyer 230 when it ships. (it's planned to ship in the spring). Of course, the EzFlyer might be obsoleted by then.

I agree. I hazzard a guess that that's why Syquest management stated they had no interest in the 'lower end' of the market.

Stephen, No significant impact on SyQuest 1gig+ product nor IOM's Jaz because they are different class. But EZ-Flyer will be affected.
