Because they needed multi billions to reorganize and the only entity which had that kind of money and would take the risk was the Government which they did with DIP and then had to put up more on the 363D sale which is risky and not a slam dunk legally and noone would buy on the 363D sale except the goverment. It is not always possible to Reorganize and GM had no chance without the Government putting up it billions. And Michigan is not a right to work state so they would have no workers without the Union. A tough way to make cars
