To all, latest press release: Consolidated Eco-Systems Announces Agreement with American Physicians Service Group, Inc. November 13, 1997 11:44 AM LITTLE ROCK, Ark.--(BUSINESS WIRE)--Nov. 13, 1997-- Consolidated Eco-Systems, Inc. EXSO , today announced that it had reached an agreement for the term payment of a $3.8 million debt with American Physicians Service Group, Inc. AMPH ("APS") of Austin, Tx. No payments will be due under the agreement until the earlier of Jan. 1, 1998 or 30 days after Consolidated Eco obtains global refinancing. Under the agreement, the obligation due to APS will be be paid in monthly installments in accordance with a five-year amortization schedule. All remaining obligations due after 24 months will become payable at such time. Consolidated Eco will be required to make monthly payments of approximately $40,000.00 through Sept. 30, 1998 at which time the monthly payments will become approximately $85,000.00. Under the agreement, Consolidated Eco will attempt to obtain shareholder approval to allow APS to convert its debt to equity. The consent of Consolidated Eco will be required to make such conversions unless Consolidated Eco defaults in repayment of the debt. If shareholder approval is not obtained by April 1, 1998, then both principal and interest payments will begin with the April, 1998 payment. APS is also receiving certain additional security. James J. Connors, Jr., President and Chief Executive Officer of Consolidated Eco, said, "The arrangement we have reached with APS allows our business plan implemented earlier this year to proceed forward. Consolidated Eco and APS have worked together diligently to reach a resolution which we believe is in the best interest of our shareholders." Does this mean that new financing is imminent?
