I don't know whether SUNW has poison pill provisions, but the scenario you describe is very possible. A "poison pill" usually refers to a class of shareholder rights or warrants to purchase stock and resell it at a premium (usually to the company). The rights or warrants are triggered only in the event of a hostile takeover bid. The idea is to deter such a bid due to the extreme dilution of the value of the acquirer's investment that would be caused by exercise of the rights and resale of the stock. There are many variations on this basic theme.
