Eric, the details will be important, but it sounds to me like they will be able to convert the stock at a significant discount. Don't underestimate this type of financing (again, the details may shed new light, but, to me, it does not look good). In the short run, it can cause heavy downward pressure. I have seen it happen many times. I have seen some companies where just the mention of it ran the price down. I usually run at the mention of reg S (or similar structures)....too late for me now. Brad
