You can't give out S-8 shares for this. Those shares are supposed to go to employees.

If thats the case, then these shares are in the float anyway, which would put the float at near 3 million.

And these shares were already restricted. The restriction period is over. You can't pay with more restricted shares. You have to pay up with tradeable shares or cash.
