Zeev, can you shed in light on the financing subject? I agree with Kim, the statement stating 125% of stock price means very little without the details. If you want an example of a Reg S type disaster, take a look at ISSM. The corporate pr's concerning the financing sounded a lot better than the details. The stock price plumeted about 3 months later, when the selling began, and never really recovered. The financing by itself is not why the company failed, but is a good eample of how vague pr's can sound much better than they really are. Zeev seems to have some information of different types of financing, so, if you have any relevant info here, it would be appreciated.

Brad

Briefly, Kim,
-I give you an interest-bearing note for $1000 (not $1050) that is payable at a time certain, perhaps as long as 5 years out, with perhaps a call provision.
-the conversion offer holds while you hold the note--it is after all at a premium to the then current price (probably would price on a MA to facilitate the conversion process).

Like my fiction so far?

Bob
