I think we agree on some essentials, Bob. My payable = your redeemable? My call provision is pretty standard, the co must be able to call it after some reasonable specified period--all things must eventually end. But there may be a misunderstanding in your "I can call the note right now and force you to convert rather then waiting for the stock price to be sky high." I [the co] don't really mind if 'you' convert at 1.25 x 'sky-high' :-)
