The merger related shares are Rule 144 shares, BUT some previous Rule 144/restricted shares that the company issued were given a guaranteed value, and the restriction period is ending.

My theory is that is why the company is getting $10 million instead of $5 million. To prevent them from having to issue additional shares to meet the mininum guaranteed value by using some of the extra $5 million in cash instead.

I don't have a problem with that, since in the merger announcement they only needed $5 million to do their expansion.
