But let's get back to business. You have seen why I contend there is no squeeze. There are simply no explanations for Riley's 144 numbers and no reason to believe these shares are all locked up.

All 2 million S-8 shares can and may be out there. Check out the provisions in the S-8 regarding what happens to vesting schedules when there is a change in control of the company, and look at what happens if they are separated from service.

IMHO, Morgan and Breton may not have had to wait for that event to sell those shares into the market in the first place.

Since the company said that as of 2-1-97 the value of the non-affiliates shares was $1,600,492, and the closing price was $1.75, virtually all of the pre-split shares were floating. (914,567). But if you try to count backwards to figure out where all the shares came from, you will find that, pre-split, there appears to be about 5 million unaccounted for. Why, I don't know. I have heard there was some selling by Zapara, which may or may not be true, but seems to support this.

There's no squeeze here, Joe.
