A 13-D filing is required if you are a 5% owner. 300,000 shares is just under 10%. Divide that by two (Morgan and Breton), and it appears the shares can be sold without filing.

Just speculating here, but not out of the realm of possibility. I just wonder why they specifically put out that number.

There are also interesting clauses in the S-8 regarding how these shares can be exercised and sold if there is a change of ownership of the company, and employee's separation from service, both of which seem to have occurred.
