LOS ANGELES--(BUSINESS WIRE)--Nov. 6, 1997--Struthers Industries, Inc. (OTC:SIIS) announced today that it has
acted to stabilize its securities by reaching agreement with the majority of its remaining debenture holders for an orderly
redemption plan, whereby the $6,085,229 debenture balance owed them will be repaid over 12 months. Furthermore, these
debenture holders have instructed J.P. Carey, the custodian of 4,675,000 common shares of Struthers, to return their
proportionate shares to WINCO Corp., the majority shareholder of Struthers Industries. Struthers Chairman Raoul L.
Carroll said Struthers soon expects to be in agreement with up to 80 percent of its debenture holders.

Struthers Industries, through its acquisition of WINCOM Corp., is a telecommunications company concentrating in advanced
utility automation and data services utilizing IVDS (Interactive Video and Data Services) wireless technology. Struthers recently
announced a Definitive Agreement with INFOTEX, Ltd. to combine IVDS and Assure EC(tm), the first and only National
Security Agency-approved C-2 Class operating system, for application in secure wireless and Internet communications.

LOS ANGELES--(BUSINESS WIRE)--Nov. 3, 1997--Struthers Industries, Inc. (OTC:SIIS) said today that, 10 days
after it announced a Memorandum of Understanding between the two companies, it has signed a Definitive Agreement with
INFOTEX, Ltd. to combine Interactive Video and Data Services (IVDS) with the first and only National Security
Agency-approved C-2 Class operating system for application in the first secure environment for wireless and Internet
communications. Struthers' subsidiary, WINCOM Corp., is the nation's largest holder of IVDS (218-219 MHz) licenses under
contract. Assure EC(tm) earned the NSA's C-2 rating under the Agency's Trusted Computer System Evaluation on October 7,
1997, after six years of development.

"When our companies announced the Memorandum of Understanding on October 24, we said it would be followed within 30
days by a Definitive Agreement, and we have more than met that commitment," said Struthers Chairman Raoul L. Carroll. "This
agreement is a key component of the recapitalization plan of WINCOM, and represents a significant step forward for the IVDS
network and the WINCOM business plan."

Assure EC(tm) is manufactured by INFOTEX subsidiary Sistex, Inc. As noted in the Oct. 24 announcement, Sistex President
Robert Pollock said orders for Assure EC(tm) are pending from the U.S. Government.

Mr. Pollock and Russell Varnado, chairman of INFOTEX, said they are confident the agreement will have broad benefits for
Struthers, INFOTEX and Sistex for the goal of totally secure operating systems.
