Application development technologies provider Borland International
[NASDAQ:BORL] said it plans to acquire Visigenic Software [NASDAQ:VSGN]
in a stock swap deal valued at more than $140 million.

Details of the deal were announced during a news conference at Comdex
Fall in Las Vegas Tuesday morning.

Visigenic is described by Borland Chairman and Chief Executive Officer
(CEO) Del Yocam as a leading provider of Object Request Broker (ORB)
technology, which essentially sends information among applications, to
the computer industry. Visigenic's VisiBroker is a de facto standard ORB
technology in the computer industry, Yocam said. The company is in
license agreements with companies including Oracle, Netscape, Novell and
Sybase, officials said.

Visigenic is also a provider of CORBA (Common Object Request Broker
Architecture) distributed object technology for integrating
heterogeneous software environments.

Yocam said with Visigenic under Borland's belt, the combined company
will be able to accelerate its growth in the enterprise market. The
addition of Visigenic's distributed object technologies will allow
Borland customers to mix legacy, client/server, Internet, and object-
based applications into a single, distributed Information Network
application, officials said.

"The acquisition will firmly establish Borland as the leading platform
independent provider of a complete solution for developing, deploying,
and managing business-critical distributive enterprise applications,"
Yocam said.

In combining Borland and Visigenic technologies, Borland customers can
develop, deploy, and manage sophisticated distributed applications on
multiple platforms, including Windows, Unix, AS/400, and MVS, Borland
officials said.

Terms of the agreement call for Visigenic stockholders to receive .81988
of a share of Borland common stock for each outstanding share of
Visigenic common stock, Yocam said. About 12.5 million shares of Borland
common stock will be issued at the close of the transaction, which is
estimated to occur in the first quarter of calendar year 1998, he also
said. The transaction is intended to qualify for a pooling of interests
accounting treatment.

Yocam said Borland has "done its homework" with its acquisition of
Visigenic. "Although acquisitions are always challenging, we are
confident that we can efficiently integrate our company and still meet
our business objective for the next year."


Newsbytes notes that Borland has been in financial hot water. But the
company broke even in the summer quarter, and made a profit in the
fall quarter.

That's true and the current ratio is a whopping 4.75.

But with a float of 6.6M and a loss rate of 9.3M things don't look that great 8 mos down the road.... unless either they have a friendly banker (read BORL) or great sales prospects (read COBRA).

Anyone care to enlightened us laymen about COBRA.
