Not material? If the agreement for 45 sites was bogus or never materialized, I think it was quite material.

sec.gov
"The Company also executed Letters of Intent for the Joint Venturing of up to 45 P2O sites in Florida with AS PTO, LLC (an entity wholly owned by Al Sousa)"

sec.gov
"JBI has signed a Letter of Intent for the establishment of an Area Development Agreement (ADA) for 45 P2O sites in the State of Florida with AS PTO, LLC, an entity controlled by Al Sousa of Largo, Florida. Both Heddle and Sousa have strong management capabilities and are expected to be essential to the scaling up of a nationwide P2O launch."

It remains to be seen if the SEC considers the deal to be material.

Since the company is building a second processor now, it really doesn't matter how many deals to place processors the company passed up does it since it didn't have the processors to place, does it?

You seem to be building a straw man with that argument.

The company does have a deal to place processors as soon as it has them available. Seems pretty smart approach to me since this deal involves 100's of processors.

As far as the Sousa deal dying...... It was hardly material.

What the company announced was a single site JV for 1 processor. Please see the relevant part of that PR below.

NIAGARA FALLS, Ontario, Feb. 12, 2010 (GLOBE NEWSWIRE) -- JBI, Inc. (the "Company") (OTCBB: JBII) is pleased to announce that on February 12, 2010, AS PTO, LLC, which entered into an Area Development Agreement (ADA) with JBI, Inc. for 45 P2O sites, has entered into a Joint Venture and Licensing Agreement with ES Resources, LLC for a P2O processing site to be located in Clearwater, Florida.
