2. cash instead of stock stinks.
3. closing in 1997 stinks.

this deal should have been one share of TXN for each four shares of AMTX. i plan to sit through the tender period and let them buy me out in 1998.

this deal couldn't have been structured any worse for AMTX shareholders from a tax standpoint.
