First of all, I like your name TUNA. Next, thanks for your input.

And, of course, the prize of the acquisition. There was a reason why
VSGN's price had come down from the teens. This is a hideously
expensive purchase. Everything else could have been overcome by the
strategic aspect of the purchase. But this price was just ridiculous. Of
course, the market is also fixing that, although that's a small consolation,
especially to those with options.


I believe there's less than 5%(or was it 2% ?) IPOs' price remain
above 1/4 of IPO price @ end of the year according MB (Mike Burke).
Anyhow, yes it's terrible they couln't make $$$ over a year. However
with Yocam and new management team, this sounds like a good match @
the price. Again, thanks for the input!!!

I absolutely agree with you "wrong move on the wrong timing".
Nobody can judge it better than what Market is telling us.
Market is still not good here or in Asia. BORL is not even
completely turaround yet. I believe they did their homework
before this decision, but who didn't do their homework before
any decision and look at the result of RATL/PASW.

BORL is just not qualified to accquire VSGN with that much money
at this wrong timing. I cannot believe they did this crazy thing
to shareholders and sold all my 16000 shars yesterday.

Good bye BORL, 6-8Q turnaround timeframe is a question mark now.

Uh, no. The market is really telling you what it thinks about this purchase. It's a stinko.


I think you're both right: The market knows nothing, and really didn't like the acquisition.

There was a reason why VSGN's price had come down from the teens. This is a hideously expensive purchase.

There's also a reason why it was in the teen's in the first place. It is rare for the instrinsic value of a stock to change so radically in such a short period of time. More typically, the market has over- or under-reacted to this news or that. My guess is the stock was seriously undervalued, Del recognized that, and figured with the synergistic effects it was worth it.

I do know one thing. Yokum has, so far, exhibited first-rate decision making. I'd be shocked if this were anything less.....

Your post appears to a reasonable analysis of the downside of the deal and the market does appear to be reacting in this manner...however while not quite a "bet the company" move it was nonetheless "gutsy" for all the same reasons that you site. This move is a strategic one for Borland at a time when they can't really afford to do it, but on the other hand they have to make bolds move if they want to continue to survive and prosper. This is a play for the enterprise market, important with respect to competing with Forte, important with respect to having more of an architectural solution, as opposed to a product based solution, important with respect to the value they can offer their partners, etc. All in all this move, IMHO, will prove to be incredibly important to Borland's over all strategy. It looks like a buying opportunity to me.
