Funny, where is Tom Terf now? I give him a couple hours before he is telling us the restatement is a fraud.

Predictions for tomorrow? Given that people were expecting the worst, I think we're in for a good day. A lot of investors wouldn't even touch the stock for fear that the restatement would be extreme. Hopefully with this behind us, we'll hear some good news from COMDEX. By the way, this will reduce the likely hood and magnitude of the lawsuits being successful.

Thanks for all the cut&paste. I read a little of it and not being an accountant or an engineer I have a question.
1) Are all 10Q's written with built in caveats:
"The occurrence of any such events would have a material
adverse effect on the Company's operating results."

That statement in one form or another appeared at least 7 times. Whether it's a marketing plan, development of a new product,
or a joint venture, the statement always appeared that, of course something could go wrong and we might miss that target/goal/whatever.

Sheesh!!! What if the planet split in two? Would they still have a competitive product?

One thing I liked was that they recognize that the single function chip is not a direction they're taking. They still seem to have that
cutting edge vision.

Overall, I guess we can put horses back in the corral and put away the lynch ropes. Hope those litigant happy types aren't too distressed good news(well, not being as bad as it could, makes it good doesn't it?).

I agree with your view on Walt. I hope he can provide some financial credibility.

As to the lawsuit situation, one suit was filed almost immediately after the announcement and included a much longer time period (96-97).
Probably just a coincidence.

This whole situation with the re-statement now takes on an ominous tone. If the problem really started up during 4th quarter 1996, then the accounting firms are drawn into the mess. That should be interesting. Also, the reason for George leaving during 1st quarter now make more sense. Maybe everyone was waiting to see if things could get a little better. I agree that Walt forced everyone's hand.

I certainly can't prove anyone knew the story.

But.... some did.

Frank - The new CFO is definitely an asset. Regardless of whether Walt was hired to clean up the mess (I personally thought that the hiring process took "suspiciously" long), or found it, the good news is that corrections to existing problems are being made. Walt has acted quickly and decisively, he gets a ++ so far.

In terms of the technical direction of the company, I think GJ has actually done a reasonable job. I applaud the efforts in 3D apps, PCI audio, and digital video. However, as far as running the business, GJ has been a total disaster. There is much more to running a company than providing technical direction, unfortunately, we have all seen the results of the poor administrative skills of the company.

I lean towards incompetence rather than fraud in regards to all the legal stuff floating around, after all GJ is a rookie CEO and is going to make mistakes. I just didn't think the mistakes would be so devastating. If S3 management had taken the hit along with its shareholders, sentiment and confidence in the company would be a lot different. Looks like Amaral will provide some complementary skills S3 management badly needs, it's a good start in terms of changing the composition of S3 management.

To steal from George, onward!!
