Ratan --

TI is preparing a shareholder booklet (appx. 20 to 30 pp.), to be sent out next Tuesday, that will answer all our questions.

They will pay all shareholders for their shares, whether they're tendered by Dec. 23. If they don't get the 90% needed to avoid a shareholder vote, they can extend 2 five-day periods, and if they're still short, then they have to prepare the vote, send out ballots, and so on. By the second 5 days, it's 1998.

Had they given us shares instead of cash the time element would have been eliminated.
