NEWPORT, R.I., Nov. 3 /PRNewswire/ -- Netmaster Group, Inc. (Nasdaq:NETZ) said today it
has acquired Universal Commerce, Inc. (''Universal'') of Asheville, NC, for cash and stock valued
at $3 million.

Universal's technology enables credit card users to perform immediate secure transactions to
purchase products on the Internet.

Universal currently has more than 150 vendors which use its technology to handle upwards of 20
different products. The company's revenues have been doubling each month and the company
projects 1998 revenues of $13 million.
