There is no mention of any penalty due TXN. But it would be interesting since TXN agreed to pay the penalty to WSTL. See

TI agreed to pay Westell a $14.8 million ''break-up'' fee and the two companies also agreed on a
strategic alliance.
Apart from paying Westell a $14.8 million ''break-up'' fee, Texas Instruments said Wednesday it
was starting a strategic alliance with the company to develop and deploy TI's digital subsciber line,
which is based on digital signal processing technology, with Westell's lines.

The companies also agreed to jointly develop a next generation of digital subscriber lines, which will
feature higher speed and extend into the network and service management markets.

Article in Mondays IBD titled, Why Did Texas Instruments Shell Out For A Small Fry? No new news, on the whole positive about the deal for TXN. One quote though from Dain Bosworth analyst Charles Pluckhahn, "TI's intention is to become the Intel (Corp.) of the DMT world."
