The prefferd offering of $10 mil for shares convertable at a 80% discount of the current price or of the Aug 97 price whicever is lower, restricted in certain ways as to how many shares each owner can sell in any given day. . What do you call that. REG- S or REG-D or another type of restricted private placement done by some unknown underwriter to screw shareholders unexpectedly. Wasn't the company about to do a $25 million job to further screw the shareholders in OCT, and scrapped it for an unknown reason. Might this need come up again soon In essence the company gave away 1/2 the company at $1 1/8 per share. Why would a company do that if there is a buyer who considers these shares worth more. Anyways anyone can get on here and say I did the transaction which in any case is suspect since people doing the tranactions usualy don't identify themselves on these boards.
