Lam Research to Buy Novellus Systems for $3.3B

Lam Research Corp. (LRCX) agreed to buy Novellus Systems Inc. (NVLS) in an all-stock transaction worth about $3.3 billion that values Novellus shares at $44.42 each.
Novellus closed at $34.70 today

Can NVLS shareholder block the buyout in case there is NO other bidder?
I don't think so - am I correct?
If NVLS shareholder want more $ they need to come up with another bidder (which to me is very highly unlikely).
If NO other bidder - case dismissed - correct?
it almost looks like LRCX shareholders are afraid of bidding war
