Sounds like these are share that would have affected future dilution anyway and not an add on. Plus they will get some $ from it. This sale by the selling security holders will conincide with good news from the company imo. Night all

NEW YORK, Nov 14 (Reuters) - ACTV Inc said Friday it has nearly completed the transition from a development company to an operating company in its two business segments. These efforts are expected to begin to positively impact its revenues in the current quarter, the company said. "In entertainment, we just completed construction in Dallas of our new master control facility to prepare for the imminent launch of the company's first individualized regional sports network, in conjunction with (News Corp Ltd's ) FOX Sports Southwest," ACTV said. "In our educational segment we have developed new state-of-the-art software for individualized Internet and television distance learning applications." Looking beyond the transition year of 1997, the company said, "we expect a number of the recently announced contracts for our educational operations to produce significant year over year revenue increases for ACTV in 1998. "Also, during 1998, we expect ACTV's entertainment operation will begin to produce its first meaningful revenues from its individualized regional sports networks." Eric...any linkage in these two stories from your perspective? Hard to tell what this S-3 filing means until we see the details in its statements. EDGAR has been busy or down all evening so I haven't been able to access. Ed
