Ellen: I believe the earnings for 1997 are not in that range,
please correct me if I am wrong. NETZ's most recent acquisition, Universal is growing dramatically as you can see, and this division alone is projected to do $13,000,000 in revenues in 1998.

NEWPORT, R.I., Nov. 3 /PRNewswire/ -- Netmaster Group, Inc. (Nasdaq:NETZ) said today it has acquired Universal Commerce, Inc. (''Universal'') of Asheville, NC, for cash and stock valued
at $3 million.

Universal's technology enables credit card users to perform immediate secure transactions to purchase products on the Internet.

Universal currently has more than 150 vendors which use its technology to handle upwards of 20 different products. The company's revenues have been doubling each month and the company projects 1998 revenues of $13 million.
