Entry into a Material Definitive Agreement, Financial Statements and Exhi

Item 1.01 Entry into a Material Definitive Agreement.
On July 11, 2012, Patriot Scientific Corporation (the "Company") entered into a Licensing Program Services Agreement (the "Program Agreement") among Phoenix Digital Solutions, LLC ("PDS"), Alliacense Limited, LLC ("Alliacense"), Technology Properties Limited, LLC ("TPL"), and the Company and an Agreement (the "TPL Agreement") between TPL and the Company.

Pursuant to the Program Agreement, PDS has engaged Alliacense to negotiate licenses of certain microprocessor science and design patents ("Patents") and to pursue claims against violators of the Patents, in each case, on behalf of PDS, TPL, and the Company. The Program Agreement continues through the useful life of the Patents, which is defined as the greater of the period of time when any of the Patents are no longer subject to legal protection or such Patents are reasonably perceived to have commercial value. Pursuant to the TPL Agreement, TPL and the Company agreed to certain allocations of obligations in connection with the engagement of Alliacense.

On July 17, 2012, the Company entered into an Agreement among Phoenix Digital Solutions, LLC, Alliacense Limited, LLC, Technology Properties Limited, LLC, and the Company whereby the Company agreed to certain additional allocations of obligations relating to the Program Agreement.

Victory and Filing of ITC and District Court Complaints

CARLSBAD, Calif., July 24, 2012 /PRNewswire via COMTEX/ -- Patriot Scientific
Corporation (PTSC) announced today that the MMP Portfolio Licensing Program -
already among the most successful of all-time - is being further enhanced with a
first wave of aggressive ITC enforcement activities. Technology Properties
Limited (TPL) and Patriot Scientific Corporation (PTSC), have filed a complaint
with the US International Trade Commission (ITC) and corresponding complaints in
the US District Court for the Northern District of California against 13
companies believed to be infringing the MMP Portfolio patents. The move defends
the investments of the enormous MMP Portfolio licensee community of nearly 100
global industry leaders (with combined annual revenue of approximately $1.4
trillion), the investments of PTSC and TPL in the MMP Portfolio Licensing
Program, and the investments of TPL in its own semiconductor product lines.

The 13 ITC respondents are: Acer Inc., Amazon.com Inc., Barnes & Noble Inc.,
Garmin Ltd., HTC Corporation, Huawei Technologies Co. Ltd., Kyocera Corporation,
LG Electronics, Nintendo Co. Ltd., Novatel Wireless Inc., Samsung Electronics Co.
Ltd., Sierra Wireless Inc., and ZTE Corporation.

The three-pronged strategy includes: (1) a Complaint filed with the US
International Trade Commission seeking an Exclusion Order prohibiting the
importation of unlicensed products; (2) parallel actions in US District Court
seeking damages for past infringement that includes past un-paid royalties --
plus the interest which has accrued on those royalties -- both tripled for
willful infringement, plus attorney's fees; and, (3) the pursuit of injunctions
in both the US District Court and the ITC barring the sale of infringing products
in the United States in the future.

These latest lawsuits come close on the heels of Alliacense's unprecedented
series of 17 consecutive re- examination victories spanning six years of spurious
attacks from a powerful group of serial infringers.

And on June 12, 2012, the US District Court for the Northern District of
California issued a "Markman" ruling, remarkable for its resounding defeat of the
last-remaining ground being clung to by a recalcitrant group of unlicensed,

Huawei, ZTE hit with ITC patent probe US authorities heed patent trolls' throaty call for action By Phil Muncaster Posted in Public Sector, 27th August 2012 14:00 GMT Chinese mobile comms giants Huawei and ZTE are in trouble with the US authorities again, this time as part of a wider patent investigation by the ITC which could result in some of their mobile device models being banned in the States. The investigation, which includes 11 other big name tech companies including Acer, HTC, Amazon, Samsung and LG, was based on a complaint filed by three IP-related firms: Technology Properties Limited LLC, Phoenix Digital Solutions LLC, and Patriot Scientific Corporation. A brief ITC release [1] said the following: The complaint alleges violations of section 337 of the Tariff Act of 1930 in the importation into the United States and sale of certain wireless consumer electronics devices and components thereof that infringe a patent asserted by the complainants. The complainants request that the USITC issue an exclusion order and cease and desist orders. For ZTE and Huawei it will be yet another unwelcome distraction in the US. The two are already under investigation [2] by the US House of Representatives Intelligence Committee of allegations the Chinese government is subsidizing the price of kit they sell in America. In addition, the FBI is investigating ZTE [3] over allegations it illegally flogged equipment made by US tech firms to Iran and then tried to cover-up its actions. Huawei has also found it tough going in the States. It was force to drop a proposed $2m (£3.1m) acquisition of server firm 3Leaf Systems and saw a deal for network firm 3Com scuppered thanks to government pressure. As a result, handset sales for the two are particularly important for growth in the US market, so the ITC case would appear to be pretty high stakes already. ZTE last week announced that although revenue grew 15.2 per cent in the first half of 2012 compared to a year ago, its profits plunged by nearly 50 per cent. Huawei did better but still saw its profits drop [4] 22 per cent over the same period.“ZTE is aware of this investigation and are actively preparing to respond to the suit,” a spokesperson told The Reg.

“We hope to seek reasonable solutions based on the rules of mutual respect and mutual benefits.”

Huawei could not immediately be reached for comment.
