You are correct in saying that equity means stock. If you look back at their last 8-K, they very clearly stated that the merger is contingent on "at least $5m cash infusion" and it further stated the "investor would be issued 144 restricted stock" in exchange for the $5m cash.

I don't understand the confusion here, this was all plainly written out. Should not be a surprise to anyone.

The investor obviously would not invest $10M in a company that had no future prospects, after all the $5M loan may never get paid back if future prospects were bad. The investor is from Taiwan and may or may not be related to one of RMIL's board members who also happens to be from Taiwan. Rumor has it the the $10M Taiwanese investor owns the Far East's largest food distributor, which makes sense.

Lets see what happens November 30th.
