I think we should learn to read between the lines:
Del said that there will be no dilution. It should mean that just the saving on the royalties to VSGN from all the enterprise edition Java, C++, and Delphi would amount (during some time) in the price paid for VSGN. There should as well be some premium for the bought "brain power" but, again, without share earning dilution. If I understood it all correctly, the share price and the trend should be unaffected by the acquisition.
Regarding the cap on the VSGN share price: it will never happen. You can not put an upper limit on the share price without negotiating the risk on the bottom. By agreeing on the current exchange rate, the VSGN shareholders are taking the risk of getting 0.82 shares of BORL for any price, even 4 3/4. Wouldn't it be fair if they got it at, lets say, 17?
