Here, for what it is worth, is my letter going out tomorrow..... November 25, 1997 Dr. Phillip Frost, Chairman of the Board Ivax Corporation 4400 Biscayne Boulevard Miami, Florida 33137 Dear Dr. Frost, I am directing this letter to you because you are Ivax's guiding light and most likely know more about its future than anyone. If you would answer several uncompromising questions, I will be deeply in your debt: 1) Given the somewhat dire situation facing Ivax now, which is reflected by the financial statements and the stock price, are you amenable to an outright sale of the company and at what price would you would be willing to sell your shares? 2) Do you feel that Mr. Bethune can continue to find significant cost savings and from what part of the company might they be derived? 3) Having read the FDA panel transcript wherein Paxene was approved for further FDA consideration and having noticed the panel members' frustration with a lack of information and having noticed that Paxene itself was not even used in the Phase II trials, has the FDA requested more information and have you been able to accommodate them? 4) If Paxene is approved by the FDA, do you think the orphan status of Paclitaxel will preclude the availability of Paxene? 5) Given that the morale of shareholders is understandably quite low, would you be willing to signal to shareholders that you have some confidence in the future of Ivax, such as a share repurchase or, better, the purchase of shares on the open market by you and other insiders? 6) Have you utilized any derivative financial instruments which would remove any of the risk from your equity position in Ivax?
