I have no trouble with the match from a technological point of view; the question is whether VSGN value is sufficient to offset the dilution generated by releasing an additional 12 million shares. VSGN has an implementation of CORBA which doesn't make them unique. Why not just license the technology in case there's a better implementation, maybe a free one, down the road? Java has adopted some of VSGN pioneering work with Java and C++ interfaces whereby there's no need for the developer of, say, C++ to learn a new language to use and/or expose CORBA objects. Microsoft has a slew of new COM types and macros which makes you wonder why you are even using C++ and not just going with Visual Basic. In other words, Microsoft's plan is working. By allowing C++ and Java users to write CORBA applications in PURE C++ or PURE Java, VSGN technology should accelerate the use of CORBA at the expense of DCOM. In contrast, there is no way around having to mess with DCOM IDL to change or modify your exposures.

Conversion Ratios:

VSGN TO BORL CONVERSION RATIO: V = 0.81988 * B
BORL TO VSGN CONVERSION RATIO: B = 1.21969 * V

Asking price of each at the close:

B = 9.9375
V = 7.5313

Friday's Best Buy:

VSGN is "worth" 0.81988 of 9.9375 or 8.1475, but it's trading at 7.5313. VSGN is telling us that BORL is only worth 9.1859 using the VSGN to BORL conversion. The thing to keep in mind is that this will change instantaneously tomorrow so there's no guarantee the discount will hold.
