Underwriter is H&Q -- the same that claims because it has no banking relationhsip with AOL there's no conflict of interest in doing research coverage of AOL due to CEO Dan Case being brother of Steve.

But AOL owns 15% of PVTL which by 12/01 owes AOL 23% of its IPO dough
as first payment on $32 million 5 year deal as 'exclusive provider'
of travel services on AOL.

The S1 also shows that Ted Leonsis personally owns 78,000 shares of
PVTL prior to coming to AOL -- after which Preview became AOL's travel service provider and received investment from AOL.
