Hi Bob,

Let's see...I had corporations 2 years ago and must have been asleep. And now (probably as a way of procrastinating) I'm investing in penny stocks without a clue of what I'm doing, when I'm supposed to be studying...ha!

This is really good review for me. O.K.. I need to get an updated book but as of '93:
A non-exchange listed (OTC)company did not have to register with the SEC if it met BOTH of these requirement:
1. Co. has assets of less than 5 million $ AND
2. The company has a classes of stock held of record by less than 500 people.

And if a compan's stock is traded on a national securities exchange, it is automatically required to register and continuously update information.
