Bingo! I was hoping someone would make this point.

Mr. King's tax liability is due at the end of the quarter at the earliest. A downward outlook is the only reason to sell now for "tax purposes". Otherwise holding till the end of the quarter or later would yield more gain, if genuinely expected.

And what about the gains from the options exercized in early summer (don't recall if Mr. King was one, but several officers exercised). The proceeds from that sale would likely cover tax liabilities for this quarter. I think some of the officers may have gained around $1 million each.

For insider trades, I have been advised not to sell within 2 days of an announcement, preferably 5 or more, but less than 2 weeks, to carry out a least questionable transaction, as a safety window. However, I read into Mr. King's action that he is selling at the best price which is now, not in the next quarter, or future.
