There is no fundamental reason why HEN is cheaper than HEN3 that I am aware of. I Do know that Henkel is a KGAA (Kommanditgesellschaft)! Which means that the family controls the company and owns most of the Stammaktien (HEN.DE). With most KGAA, the tammaktien trade at a discount to preferred, supposedly because the preferred have better liquidity and the lack of voting rights is moot, because the family controls the company anyways.
