The phone number for questions on the tender is 800-223-2064 which is the office of Georgeson & Co. Inc. They are the information agent for the offer. They have not, apparently, received all the info on the deal, and so are only marginally helpful today. The person I spoke with did, however, believe that the merger doesn't become a taxable event until they officially merge. In other words, the fastest scenario might be: 90% of the outstanding shares are tendered by December 23rd, allowing a fast-track merger; then the merger is formalized and checks go out to stockholders. The last part will probably take long enough to push it into 1998 (at least that was the opinion of the gentleman who answered my call without having all the formal documents to speak with certainty.) If they got between 50 and 90 percent of the stock tendered, it would be even longer, requiring a stockholder vote, I believe.
