I think the prospectus will be mailed tonight and should arrive by the end of the week. There will not be a vote unless TI does not get 90% of the shares. If less, it goes to a vote and since TI will undoubtedly own over 51% at that point, the outcome will be known, but official approval will be needed just the same. My reason for not tendering is simply to throw the closing into '98 so I have an extra year to pay taxes.

Uncle Sam is far too greedy the way it is.

BTW, anyone who doesn't tender will be "squeezed out" and we'll be sent a check at the tender offer of $20 per share. At least this is how I understand it.
