I wonder if the back story is that Eric Schmidt wanted to guarantee the closing and Page and Brin or lawyers said no, and that's why Eric chose around the January cc to step aside to Executive Chairman, and also why he was paid $100 million to stay with Google.

If DOJ had said no way, but Google had to close anyway, they could have bought it in a separate corporation and spun it off. And Eric was right, so far (hypothetically).
