[history of TXN/AMTX merger from TXN's perspective]

This is excerpted from the 14D-1 (and thanks to Mark Lewin for originally posting it). I am posting it because it gives a good history of the pricing for a similiar sized ADSL company.

looks like $20/share was TXN's third bid for AMTX. they made a bid for an
undisclosed sum in late September, which was rejected by AMTX in favor of the
WSTL offer. they came back in early November with an $18/share bid, and in
negotiations with AMTX the figure moved up to $20/share. i shudder to think what
their first bid was...

TXN didn't pay the WSTL breakup fee. they loaned AMTX the money to pay it. so if
someone outbids TXN, TXN gets its $14.8M back from the eventual buyer.

Does anyone have any opinions or news about the current state of the relationship between AWRE and USRX. They signed a licensing agreement over a year ago, where USRX would use TI chips bundled with AWRE software. But in light of the TI/AMTX merger, I have grave concerns about this agreement holding. Since TI will probably embed Amati's ADSL technology right into their DSP chip, why would USRX need to have AWRE involved??
