patrice,
when small start-up's evolve from development-companies to marketing/sales-companies it's a normal procedure that the founders (which are techies and normally not able to manage big and fastgrowing companies) move to the board of directors and give the steering-wheel to real businessman that have experience in managing big companies.
the founders are the visionaires and form the product strategy and the ceo is running the company.
this makes sense to me and will make the company EARN money and not only sell good products.
did i miss anything?

I certainly hope there's no serious thought of MCRE taking over MACR. Macromedia is still a mess and I don't see any serous hope of substantial profitability for that company in the forseeable future. MCRE would be much better off focusing on what they have rather than trying to add more... MACR is bad news, period.
