i do not know what the general interst of the thread in discussing this idea, but first some general facts on both companies:

asnd value 5 billion
3com value 12 billion

ascend vs 3com - which do you purchase? i took the product lists from each company. asnd lists each product also, so do not be misled by that, roll the subs into one categorie.

why 3com

3com offers a more concetrated offering of products that integrate the pc into the enterprise. this would be a logical choice for cpq to want coms because cpq is very familiar already with these products and would be easier to assimilate into the current cpq offerings. with coms other offerings cpq could then grow into other internet markets. when you look at how well 3coms and cpq product lines intertwine, but not overlap, this would be the ideal fit.

why asnd

if cpq wants to move into entirely new area, the internet, that would be a fit with asnd. asnd would offer cpq an entirely new areas in which to apply its market acumen and brand name. now cpq would not be in familiar territory and asnd would cause not just a merger, but cpq to rethink so much of its business plan, with all new areas that do not directly integrate into the pc. you are now looking at products which are further removed in the chain from the pc.

why cpq won't purchase coms

cpq can not purchase coms because then the same pc companies that currently purchase 3com products (ie modems, nics, pc cards) would no longer purchase them and go elsewhere because cpq would be the supplier and also offer them in their own product.

why cpq might purchase asnd

pc's future as currently viewed is tied to the internet and nt just a lan. the largest growth is not in lans but the internet. asnd is a internet play. if cpq wants to continue to grow at current rates and greater, they must be able to have a piece of the internet market. pc's have low margins, internet products possess high margins and high growth. cpq understands how to make money on low margins, and would apply this to asnd in re-forming the company.

if cpq buys one, which is very speculative, it would be asnd.

the biggest obstacle is csco, who dominates and has name recognition. cpq can compete in name recognition and quality.

csco is a 55 billion dollar company (valuation), this is where cpq wants to attack. asnd figures into the fastest growth area, and cpq can continue to use its desktop dominance to help brand itself to the internet.
