I saw the demo, too, and, yes, it was a disappointment. I asked to surf the web and was given the same excuse. Talking to their engineers, though, made me realize they're aggressive and determined to get their products to market early in '98. Maybe they were told to give optimistic answers, but their timing seemed sooner than I'd heard elsewhere.

I'm disappointed in TI's cash offer as I'd much prefer stock and be able to avoid a taxable transaction. As for a Westell partnership being better, I didn't like it from the start. They don't have a big war chest and in my opinion aren't strong enough to weather the storm while telcos (read: GTE) iron out the wrinkles before deploying in numbers. With TI, Amati shareholders get a decent return and avoid any chance of a repeat of April. If GTE had announced as planned --- Q4 '97 --- and Amati received a sizeable order, they could have arranged financing and remained independent. Ironically, with the C6X, the Allegro could have been produced at a profit and the story turned out differently. Using the LSI chip it sold at a loss --- which, incidentally, is what Westell's being offered when they talk of taking over the BCTEL contract.

I could be wrong on any of these assumptions. I've put together my opinions from various sources.

My biggest regret, now, is that I can't have TXN shares in place of cash. I honestly believe TI is the DSP giant and with their newly acquired ADSL/DMT IP will be the gorilla of highspeed.

No time for looking backwards. :)
