The statement is true as a matter of law. Your citation for it being incorrect?

Your mention of the carve out is that some of the DIP may be purposed to pay ongoing legal expenses by the debtor and legal expenses by the DIP lender. Fine, no argument.

But after all is said and done, the DIP has to be paid prior to any entity gets anything at exit from the estate. That is the law.
