It was suppposed to come out at the same time as the 10-D (or whatever it was called) and then the attorneys discovered they could bring it out at the same time as the prospectus --- at the end of the 30-day SEC period. When TI came in with their offer, everything changed. Will we ever see the S-4? I have no idea. But if you get a copy, let me know. I'd sell my first-born to see what's in it.

Have you read the TI document? I waded through it this week-end. Nothing revolutionary. The big guys get their options protected, there's a backout fee of $8M if Amati wants out, and all the details of employment and so on are outlined.

No where does it say disgruntled shareholders can petition to have their settlement in shares rather than cash.
