Roxgold shareholders elect seven directors at AGM

Sept 26, '12 - News Release

Shareholders of Roxgold Inc. approved all proposals submitted by the board of directors to the company's annual general meeting in Vancouver yesterday.

The seven-member slate, which was agreed to by both Oliver Lennox-King and management, has been elected as the board of directors of Roxgold. The new board comprises Jonathan Rubenstein, Richard Colterjohn, Joseph Spiteri, John L. Knowles, Gordon Pridham, Walter Segsworth and Oliver Lennox-King. The newly elected board has appointed John Dorward as the interim chief executive officer of the company.

Shareholders also voted to set the total number of directors at seven, appointed MNP LLP as auditor for the ensuing year and ratified the company's amended 10-per-cent rolling stock option plan.

The new board of Roxgold would like to thank the previous members of the board, Allan Fabbro, Robert Sibthorpe, Barry Girling, Richard Mazur and Chet Idziszek, for their years of service in discovering and developing one of the most exciting deposits in West Africa. The new board would also like to thank Peter R. Jones and Brett Richards for their significant contributions in recent weeks to reaching this compromise.

I just read through the Caracara Management Information Circular and noticed that the number of shares owned by insiders is higher than I thought. I didn't realize that Sheldon and Pinetree owned as much as they did.

Shares out - 50,921,168

As of November 2 2012

Robert Disbrow - 7,313,717 14.36%
Sheldon Inwentash - 8,806,347 17.29%
Pinetree Capital - 8,297,347 16.29%

Since Nov. 2 Robert Disbrow has purchased at least an additional 101,000 canadianinsider.com

Other owners include management - 1,218,388 - 2.39%

Coeur d'Alene Mines CDE (NYSE) owns 3.4% or about 1,734,000

Sprott funds apparently owns some too but I'm not sure the amount so I will not include them.

This all adds up to 27,470,799 or 53.95%

Consider that their Princesa project hosts 43-101 inferred resources 13 million oz. silver and 22 million eq silver oz.

With very high insider ownership, Robert Disbrow continuing to buy at current levels, a significant resource, $2 million in the bank and a market cap of only $3.06 this one looks like it might be worth some consideration.
